These Terms of Service (“Terms”) govern your use of Tidepools (the “Service”) operated by Applied Pragmatics LLC (“we,” “us,” or “our”). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

1. Acceptance of Terms

By creating an account or using Tidepools, you confirm that:

• You are at least 13 years old
• You have the legal capacity to enter into these Terms
• Your use of the Service will comply with all applicable laws and regulations
• If using the Service on behalf of an organization, you have authority to bind that organization to these Terms

2. Description of Service

Tidepools is a document creation and management platform that provides:

• Document creation, editing, and storage capabilities
• AI-powered features for document enhancement and assistance
• Secure cloud storage for your documents

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. User Accounts

Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Immediately notify us of any unauthorized use of your account
• Accept responsibility for all activities under your account

Account Security

You are solely responsible for maintaining the security of your account credentials. We will never ask for your password via email or unsolicited communication.

4. User Content

Your Rights

You retain all rights to the content you create, upload, or store using Tidepools (“User Content”). This includes documents, files, text, and any other materials you add to the Service.

License to Us

By using the Service, you grant us a limited, non-exclusive, royalty-free license to:

• Store, backup, and archive your User Content
• Display your User Content to you and those you share it with
• Process your User Content through our AI features (when you explicitly use those features)
• Create technical copies as necessary to provide the Service

This license exists only to provide the Service to you and does not grant us rights to use your User Content for any other purpose.

Your Responsibilities

You represent and warrant that:

• You own or have the necessary rights to all User Content you upload
• Your User Content does not infringe any third-party rights
• Your User Content complies with these Terms and all applicable laws

5. Acceptable Use Policy

You agree NOT to use the Service to:

• Violate any laws or regulations
• Infringe intellectual property rights of others
• Upload or distribute malware, viruses, or harmful code
• Engage in unauthorized access or hacking attempts
• Store or distribute illegal content
• Harass, abuse, or harm others
• Impersonate any person or entity
• Spam or send unsolicited communications
• Interfere with or disrupt the Service or servers
• Circumvent any security measures or access restrictions
• Use the Service for any illegal or unauthorized purpose
• Scrape, data mine, or use automated systems to access the Service without permission

Violation of this policy may result in immediate account termination.

6. AI Features and Third-Party Services

Tidepools incorporates AI features powered by Anthropic and other third-party services. When you use AI features:

• Your content may be processed by third-party AI services
• AI-generated content may not always be accurate or appropriate
• You are responsible for reviewing and verifying AI-generated content
• You retain ownership of any AI-enhanced content you create

Third-party services integrated with Tidepools have their own terms and policies which you should review.

7. Payment and Subscriptions

Pricing

Some features of Tidepools require a paid subscription. Current pricing is available on our website. We reserve the right to change prices with 30 days notice.

Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually). Payment processing is handled by Stripe, and you agree to their terms of service.

Refunds

Subscription fees are non-refundable except where required by law. You may cancel your subscription at any time, and it will remain active until the end of the current billing period.

8. Intellectual Property Rights

Our Property

The Service, including its design, features, and content (excluding User Content), is owned by Applied Pragmatics LLC and is protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute our proprietary content
• Reverse engineer or decompile the Service
• Use our trademarks without permission
• Remove any proprietary notices

Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property and may be used without compensation to you.

9. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, available at tidepools.ai/privacy. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

10. Termination

By You

You may terminate your account at any time through your account settings or by contacting us at support@tidepools.ai. Upon termination, you can download your User Content for up to 30 days.

By Us

We may suspend or terminate your account immediately if:

• You violate these Terms
• We are required to by law
• Your conduct harms other users or the Service
• You engage in fraudulent activity

Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your User Content after 30 days
• Provisions that should survive termination will remain in effect
• You remain liable for any fees incurred before termination

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF CONTENT
• UNINTERRUPTED OR ERROR-FREE SERVICE

We do not guarantee that the Service will meet your requirements or that any errors will be corrected. You use the Service at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPLIED PRAGMATICS LLC SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, OR GOODWILL
• SERVICE INTERRUPTIONS OR DELETIONS OF YOUR USER CONTENT
• UNAUTHORIZED ACCESS TO YOUR ACCOUNT
• ERRORS OR OMISSIONS IN ANY CONTENT
• ANY DAMAGES EXCEEDING THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS

Some jurisdictions do not allow these limitations, so they may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Applied Pragmatics LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights
• Any harmful acts related to your use of the Service

14. Dispute Resolution

Informal Resolution

Before filing a claim, you agree to try to resolve any dispute informally by contacting us at legal@tidepools.ai. We'll try to resolve the dispute informally for 30 days after we're notified.

Arbitration

If informal resolution fails, any dispute will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will be conducted in Sacramento, California, and judgment may be entered in any court.

Class Action Waiver

You agree to resolve disputes only on an individual basis and not as part of any class, consolidated, or representative action.

15. Governing Law

These Terms are governed by the laws of California, United States, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the courts in Sacramento County, California.

16. Export Controls

You may not use or export the Service in violation of U.S. export laws and regulations. By using the Service, you represent that you are not located in a country subject to U.S. embargo or designated as a “terrorist supporting” country.

17. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Applied Pragmatics LLC regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any provision of these Terms is not a waiver of that provision or our right to enforce it later.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

Force Majeure

We are not liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or governmental action.

18. Changes to Terms

We may update these Terms from time to time. We'll notify you of material changes by:

• Posting the new Terms on this page
• Updating the “Last Updated” date
• Sending you an email notification
• Displaying a notice within the Service

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
